01Acceptance of Terms
By accessing or using the Services you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Services.
02Eligibility & Accounts
You must be at least 18 and able to form a binding contract to use the Services. You are responsible for the accuracy of your account information, for keeping your credentials confidential, and for all activity that occurs under your account. Notify us promptly of any unauthorized use.
03Subscriptions & Billing
Paid plans are billed in advance on a recurring basis (for example, monthly) at the price shown at purchase. Unless stated otherwise, subscriptions renew automatically until cancelled. You authorize us and our payment processor to charge your payment method for applicable fees and taxes.
- Plan changes take effect at the start of the next billing cycle unless we state otherwise;
- Fees are non-refundable except where required by law or expressly stated;
- We may change pricing with reasonable prior notice, effective on your next renewal.
04Free Trial
We may offer a 7-day free trial with no credit card required. At the end of a trial, your access to paid features ends unless you subscribe. We may modify or discontinue trials at any time.
05Acceptable Use
You agree not to:
- Use the Services in violation of any law, grant condition, or third-party right;
- Upload malicious code or attempt to breach, probe, or disrupt the Services or their security;
- Reverse engineer, resell, or provide the Services to third parties except as permitted;
- Access another organization’s data without authorization; or
- Use the Services to store or transmit content that is unlawful, infringing, or harmful.
06Customer Data & Ownership
As between you and us, you retain all rights to the data you and your team submit to the Services ("Customer Data"). You grant us a limited license to host, process, and display Customer Data solely to provide and improve the Services. You are responsible for having the rights and permissions needed to submit Customer Data and for its accuracy and lawfulness.
07Intellectual Property
The Services, including all software, design, and content we provide, are owned by JAKstoc LLC and its licensors and are protected by intellectual property laws. Except for the rights expressly granted to you, we reserve all rights in the Services.
08Third-Party Services
The Services may integrate with third-party products (for example, payment processors or messaging tools). Your use of those products is governed by their own terms, and we are not responsible for third-party services.
09Disclaimers
The Services are provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that they constitute legal, financial, or compliance advice.
10Limitation of Liability
To the maximum extent permitted by law, JAKstoc LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability arising out of or relating to the Services will not exceed the amounts you paid us in the 12 months before the event giving rise to the claim.
11Indemnification
You agree to indemnify and hold JAKstoc LLC harmless from claims, damages, and expenses arising out of your Customer Data, your use of the Services, or your violation of these Terms or applicable law.
12Term & Termination
These Terms remain in effect while you use the Services. You may cancel at any time from your account. We may suspend or terminate access if you materially breach these Terms or to protect the Services. On termination, your right to use the Services ends; you may export Customer Data for a limited period after which we may delete it.
13Governing Law
These Terms are governed by applicable law without regard to conflict-of-law principles. Disputes will be resolved in the courts having jurisdiction over JAKstoc LLC, except where local law grants you the right to bring proceedings elsewhere.
14Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and notify you through the Services or by email. Continued use after changes take effect constitutes acceptance.
